Transactional Paralegal (Part-Time / Contract)

Position Overview:

We are seeking a Transactional Paralegal who is highly organized, detail-oriented, and an excellent writer. This role is ideal for a professional with experience supporting corporate transactions, due diligence, and regulatory compliance. You’ll have the opportunity to contribute to meaningful, high-impact legal work in a collaborative and international environment.

Key Responsibilities:

  • Draft, edit, and proofread corporate documents (e.g., resolutions, certificates, SEC filings).
  • Organize closing checklists, binders, and diligence reports.
  • Conduct corporate and public record searches (UCC, Secretary of State, PACER, etc.).
  • Support attorneys in private placements, M&A, IPO readiness, and corporate governance.
  • Assist with entity formation, compliance filings, and record maintenance.
  • Coordinate with clients and service providers to manage timelines and deliverables.
  • Maintain confidentiality and adhere to legal and ethical standards.

Qualifications:

  • Bachelor’s degree required; Paralegal certificate or legal studies preferred.
  • 2+ years of relevant experience in a law firm or in-house legal department.
  • Excellent writing, formatting, and proofreading skills.
  • Familiarity with SEC filings, IPO processes, or corporate governance is a plus.
  • Proficiency in Microsoft Word, Excel, Adobe Acrobat, and legal research tools.
  • Able to work independently, prioritize tasks, and meet deadlines.
